The final results, announced October 9, show that 8,903,259 shares were tendered during the offer period, representing roughly 71.94% of Nagarro’s capital. When combined with the 22.10% stake acquired earlier from Lantano Beteiligungen GmbH, Persistent comfortably cleared the 50% plus one share threshold required to validate the takeover.
Sandeep Kalra, CEO of Persistent Systems, described the outcome as a validation of the strategic logic behind the merger, noting that the combined entity aims to become a dominant global player in AI-led digital engineering. With ownership now exceeding the 90% mark, the company intends to initiate a squeeze-out process, though specific timelines for this move remain under review. The transaction is expected to close by the end of the first quarter of 2027, pending final regulatory clearances.
