Otsuka Pharmaceutical Completes Acquisition of Transcend Therapeutics

With the formal transfer of ownership finalized today, New York-based Transcend Therapeutics has become a wholly owned subsidiary of Otsuka America Inc. The deal integrates Transcend’s neuroplastogen research into the pharmaceutical giant’s portfolio, aiming to accelerate the development of rapid-acting treatments for patients suffering from post-traumatic stress disorder.

The deal integrates Transcend’s neuroplastogen research into the pharmaceutical giant’s portfolio, aiming to accelerate the development of rapid-acting treatments for patients suffering from post-traumatic stress disorder.

The merger solidifies the path for TSND-201, a drug candidate that has rapidly moved through clinical stages since the company's founding in 2021. Following successful Phase 2 results published in JAMA Psychiatry, the treatment earned FDA Breakthrough Therapy Designation last year and a Commissioner's National Priority Voucher earlier in 2026. A Phase 3 clinical trial for the medication is currently underway.

Blake Mandell, CEO of Transcend, noted that the transition provides the necessary infrastructure to scale their clinical efforts. For Otsuka, the acquisition aligns with its long-term strategy in mental health. Tarek Rabah, president and CEO of Otsuka North America, stated that the move positions the combined entity to address significant gaps in existing neuropsychiatric care. Unlike some emerging neuroplasticity therapies, TSND-201—chemically identified as methylone—is designed to avoid hallucinogenic effects by operating via monoamine transporters rather than 5-HT2A receptors.
