The complaint, filed in the U.S. District Court for the Western District of Washington, alleges the company misled shareholders regarding the health of its Azure platform and Copilot AI.

The litigation centers on claims that Microsoft obscured significant functionality issues within its generative AI chatbot, Copilot, while simultaneously using the product to bolster growth projections for its Azure cloud division. According to the complaint, these undisclosed technical failures eventually led to a decline in user adoption that threatened Azure-related revenue streams.

Market confidence faltered on January 28, 2026, when the company revealed that the number of premium Copilot customers stood at only 15 million—a figure far below analyst projections. This announcement, coupled with news of slowing Azure growth, triggered a $48.13 per share drop in Microsoft stock. Shortly after, reports in The Wall Street Journal highlighted widespread user frustration over brand positioning and interoperability problems, further fueling allegations that the company failed to provide an accurate picture of its AI product’s performance to the public.
