The legal action, filed by Robbins LLP, targets the period between May 7 and July 8, 2026. The complaint claims that while Rackspace touted a new partnership with Advanced Micro Devices to build a "governed enterprise AI" infrastructure, leadership failed to disclose that this shift required diverting capital away from the firm's profitable Private Cloud business. Furthermore, the suit alleges the company concealed that customers were increasingly bypassing Rackspace to contract directly with hyperscale cloud providers.
These omissions came to light on July 9, 2026, when the company slashed its full-year revenue guidance by $150 million and reduced its Private Cloud outlook by $25 million. Following the disclosure, the stock price plummeted from $6.58 to $4.37. The lawsuit seeks to represent all investors who purchased securities during the specified window, arguing that the company’s public statements regarding growth and operational stability lacked a reasonable basis.
