The tender offer, which targeted the company's outstanding notes, saw significant participation from holders. According to the tender agent, Global Bondholder Services Corporation, the validly tendered amount represents a substantial portion of the original $400.1 million principal. Investors whose notes are accepted for purchase will receive a consideration of $993.11 per $1,000 of original principal, alongside accrued interest calculated through the settlement date.
Citigroup Global Markets and Goldman Sachs & Co. acted as dealer managers for the process. While the company intends to proceed with the purchase, the transaction remains subject to specific financing and general conditions outlined in the original offer documentation. The Newcastle Coal Infrastructure Group, which operates a critical export terminal in New South Wales, maintains that the decision to participate remained entirely at the discretion of individual noteholders.
